These Terms of Service (“Terms”) govern your access to and use of the Moonskai Labs website, your account, and any digital products, downloads, software, services, and related features we provide (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.
1) Who we are
Moonskai Labs L.L.C. (“Moonskai Labs”, “we”, “us”) operates from Michigan, United States.

2) Eligibility and acceptance
- You must be able to form a binding contract in your jurisdiction to use the Service.
- If you use the Service on behalf of an organization, you represent you have authority to bind that organization.
- By using the Service, you agree to comply with these Terms and all applicable laws.
3) Accounts, authentication, and responsibility
- Account security: You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
- Accurate information: You agree to provide accurate information and keep it updated.
- Unauthorized use: Notify us promptly if you suspect unauthorized access to your account.
- Access control: We may suspend or disable accounts for suspected fraud, abuse, or policy violations.
4) Purchases, payments, taxes, and Paddle
Purchases are processed by Paddle. Paddle may act as Merchant of Record for transactions and may calculate, collect, and remit taxes (including VAT where applicable) as part of the checkout process. Your payment experience, tax handling, and certain purchase-related data processing may be governed by Paddle’s policies in addition to these Terms.

- Pricing: Prices are shown at checkout and may change at any time (changes do not affect completed purchases).
- Taxes: Taxes may be added based on your location and applicable law.
- Chargebacks and disputes: Chargebacks/disputes may be handled through Paddle and/or your payment method.
- Fraud prevention: We and Paddle may take steps to prevent fraud and protect users.
5) Refunds
Refund requests are governed by our Refund Policy and may also involve Paddle’s checkout and dispute processes. If there is a conflict between a refund process required by law and any policy language, the applicable law will control.
6) Digital products, licensing, and EULA
Unless explicitly stated otherwise, digital products are licensed, not sold. Your rights to use a product are governed by:
- these Terms,
- the product’s End User License Agreement (EULA), and
- any product-specific documentation or license terms displayed at purchase or download.
If these Terms conflict with a specific product EULA, the EULA controls for that product’s use.

7) Entitlements, downloads, and access controls
- Entitlements: Your account may show which products you own/are entitled to download.
- Download gating: We may restrict downloads to entitled accounts and apply technical controls to prevent unauthorized access.
- Availability: We may change, update, or discontinue products or downloads at any time, subject to applicable law.
- Fair use: You may not share download links or attempt to distribute licensed downloads to others.
8) Acceptable use and prohibited conduct
You agree not to do any of the following:
- Hack, disrupt, overload, probe, scan, or test the vulnerability of the Service.
- Bypass licensing, payment flows, entitlement checks, rate limits, or access controls.
- Reverse engineer or attempt to extract source code except to the extent permitted by law.
- Upload, transmit, or distribute malware, spyware, or other harmful code.
- Use the Service for unlawful content or unlawful purposes.
- Impersonate others or misrepresent your affiliation with any person or entity.
- Attempt to access other users’ accounts or data without permission.
We may investigate violations and suspend or terminate access where appropriate.
9) User content and submissions
If the Service allows you to submit content (for example, support messages, feedback, or files), you retain ownership of your content. However, you grant us a limited license to use that content only as needed to operate the Service, provide support, and improve products (for example, reproducing a bug from a support report).
Please do not submit sensitive information you do not want processed for support purposes.

- Updates: We may provide updates, patches, or new versions.
- Feature changes: We may add, remove, or modify features at any time.
11) Third-party services and links
Some parts of the Service rely on third parties (for example, Paddle for payments). Third-party services are governed by their own terms and policies. We are not responsible for third-party services outside of our control.

12) Intellectual property
The Service and our products (including text, designs, logos, trademarks, and software) are owned by Moonskai Labs or our licensors and are protected by intellectual property laws. These Terms do not grant you any ownership rights.
- You may not use our trademarks or branding without permission.
- You may not copy, resell, redistribute, or publicly display protected materials except as permitted by the license/EULA.
13) Disclaimers
THE SERVICE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOONSKAI LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
14) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOONSKAI LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR PRODUCTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) TO MOONSKAI LABS FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.
15) Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Moonskai Labs from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, misuse of the Service, or violation of any law or rights of a third party.
16) Termination
We may suspend or terminate your access to the Service if you violate these Terms, if we reasonably suspect fraud or abuse, or if required by law. You may stop using the Service at any time.
Certain sections of these Terms will survive termination, including intellectual property, disclaimers, limitation of liability, and dispute terms.
17) Governing law
These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-law principles.
18) Dispute resolution
Before filing a formal legal claim, you agree to contact us and attempt to resolve the dispute informally. If we cannot resolve it, disputes will be handled in the appropriate courts located in Michigan, unless applicable law requires otherwise.
